1.About Us & Definitions

Shingri's Digital (“Shingri's Digital”, “we”, “us” or “our”) is a sole proprietorship owned and operated by Vivekanand Shingri, based in Hubli, Karnataka, India. “You”, “your” or “Client” means any person or business that uses our Site or engages our services. “Services” means the performance-marketing and related services we provide.

2.Our Services

We provide performance-marketing services, which may include advertising (such as Meta and Google), landing pages, sales funnels, CRM setup, marketing automation, WhatsApp and email follow-up, conversion tracking and reporting.

The specific scope, deliverables, timelines and fees for any engagement will be set out in a separate proposal, quotation or agreement between you and us. In the event of a conflict between these Terms and a signed agreement, the signed agreement will prevail for that engagement.

3.Your Responsibilities

To enable us to deliver the Services, you agree to:

• Provide accurate, complete and timely information, materials and access;
• Ensure your business, offers and any claims comply with applicable laws and advertising-platform policies;
• Obtain all necessary consents and rights for any data, content or materials you provide to us;
• Respond to requests for approvals and feedback in a timely manner.

Delays, missing approvals or inaccurate information on your side may affect timelines, deliverables and results.

4.Fees & Payment

Fees for our Services are as set out in your proposal or invoice. Unless otherwise agreed, fees are payable in advance and/or in line with the agreed billing schedule. We may pause or suspend Services where payment is overdue. All fees are exclusive of applicable taxes unless stated otherwise.

5.Advertising Budget (Ad Spend)

Your advertising budget (“ad spend”) is separate from, and in addition to, our agency/service fees. Ad spend is paid to and charged directly by the advertising platforms (such as Meta and Google) and is subject to those platforms' own terms and billing. We do not hold your ad spend, and we do not control or process refunds of it. Ad spend is non-refundable by us.

6.Refunds & Cancellation

Our agency/service fees are non-refundable.

Where we have expressly agreed in writing to provide a refund under specific conditions, any such refund will be limited to the agency/service fees actually collected by us for the relevant period, and will not include any advertising budget paid to platforms or any costs or work already incurred.

Either party may end an ongoing engagement by giving notice in accordance with the applicable proposal or agreement. Fees for Services performed up to the effective date of cancellation remain payable.

7.No Guarantee of Results

Marketing results depend on many factors outside our control, including your offer, pricing, market, budget, competition, seasonality and platform performance. While we apply our skill and experience to improve your results, we do not and cannot guarantee any specific number of leads, appointments, sales, revenue or return on investment.

Any figures, case studies or examples we share reflect specific past campaigns and are not a promise or prediction of similar outcomes for you.

8.Intellectual Property

All content on our Site — including text, graphics, logos and design — is owned by or licensed to us and may not be copied or reused without our permission.

For client work: unless otherwise agreed in writing, ownership of the custom deliverables we create specifically for you transfers to you upon full payment. We retain ownership of our pre-existing tools, templates, systems, processes and know-how. We may reference completed work and anonymised results in our portfolio and marketing, unless you ask us in writing not to.

9.Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of the engagement, except where disclosure is required by law.

10.Third-Party Platforms & Tools

Our Services rely on third-party platforms and tools, such as advertising, CRM, messaging, payment and analytics providers. We are not responsible for the availability, changes, policies, pricing or actions of these third parties, and your use of them may be subject to their own terms.

11.Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data or goodwill, arising out of or relating to our Site or Services. Our total aggregate liability for any claim will not exceed the agency/service fees paid by you to us for the specific Services giving rise to the claim during the three (3) months preceding the claim.

12.Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses or costs arising from your business, your offers, the content or materials you provide, your breach of these Terms, or your violation of any law or third-party rights.

13.Website Use

You agree to use our Site lawfully. You must not misuse it, attempt to gain unauthorised access, disrupt its operation, or use it to transmit any harmful, misleading or unlawful content.

14.Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent version. Your continued use of our Site or Services after any changes constitutes acceptance of the updated Terms.

15.Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or our Services will be subject to the exclusive jurisdiction of the courts at Hubli, Karnataka, India.
